Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of CommercialTVBudget.com, its commercial production budgeting workspace, collaboration tools, calendars, purchase orders, bid letters, vendor directory, imports, exports, and related services (collectively, the "Service").

"Commercial TV Budget," "we," "us," and "our" refer to Commercial TV Budget LLC, a Missouri limited liability company, the operator of the Service.

By creating an account, accessing the Service, or using any part of it, you agree to these Terms. If you use the Service for a company or another organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Service.

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

The Service is offered only for business, trade, and professional use in commercial production. It is not offered for personal, family, or household use.

The Service

Commercial TV Budget provides software tools for preparing, revising, tracking, collaborating on, importing, and exporting commercial production budgets and related production records. Subject to these Terms and any applicable plan limits, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes.

The Service may include beta, preview, or experimental features. We may improve, replace, limit, or discontinue features as the product develops. We will use commercially reasonable efforts to avoid materially disrupting paid users and to provide notice when practical.

You are responsible for your production decisions, approvals, estimates, commitments, payroll treatment, tax treatment, insurance, union or guild compliance, and payments to vendors or personnel.

Accounts, Access, and Launch Territory

Accounts And Collaborators

You must provide accurate account information and keep it current. You are responsible for safeguarding your password, sign-in links, and authorized devices, and for activity performed through your account. Notify us promptly at support@commercialtvbudget.com if you suspect unauthorized access.

You may invite collaborators to a budget. Each invited production team member must have their own active Commercial TV Budget subscription. You are responsible for choosing appropriate access roles, removing access when it is no longer needed, and ensuring that each collaborator is authorized to view the information you share. Accounts may not be sold, transferred, or shared as a common login among unrelated users.

Supported Launch Territory

During the initial paid release, the Service is offered only to businesses and professionals whose principal business address and billing address are in the United States, including the District of Columbia, or Canada, excluding Quebec (the "Supported Territory"). You represent that your account and billing information accurately identify a location in the Supported Territory.

Accounts with a principal business address or billing address in Quebec are not eligible during the initial paid release. We may add Quebec after French-language agreements, notices, and customer support required for that market are available. We may decline or suspend a new paid account outside the Supported Territory, but we will provide reasonable notice and an opportunity to export Customer Content when practical and legally permitted.

Free Trial, Subscriptions, and Billing

Thirty-Day Trial

If offered at sign-up, the trial provides thirty (30) days of access to one full active budget and up to two invited collaborators on that budget. The trial begins when your trial account is activated. Trial eligibility may be limited to new customers and one trial per person, company, or payment method.

Conversion To A Paid Plan

After the thirty-day trial, you may choose a paid plan beginning at $29 per month for your first seat. Any pricing for additional seats, available billing intervals, discounts, included features, and cancellation instructions will be shown at checkout. Paid plans do not include an additional free trial. Your paid subscription begins only when you affirmatively authorize the recurring charges at checkout.

Renewal And Cancellation

Paid subscriptions renew for the billing period shown at checkout until canceled. You may cancel through the account billing controls or by contacting support. Online enrollment will have an online cancellation method. Cancellation stops future renewals and takes effect at the end of the current paid period unless applicable law requires otherwise.

Additional renewal notices, cancellation methods, consent records, refunds, or other rights required by the law of your state or province remain available to you. Nothing in these Terms limits non-waivable rights that apply to you.

Fees, Taxes, And Refunds

You authorize us and our payment processor, Stripe, to charge the payment method you provide for fees and applicable taxes shown at checkout. Payment card numbers are entered directly into Stripe's hosted checkout fields; complete card numbers are never received, transmitted to, or stored on our own servers or database. Canadian charges may include GST, HST, provincial sales taxes, or other taxes when collection is required. You remain responsible for taxes that apply to your purchase but are not collected by us, except taxes based on our net income. Except where required by law or expressly stated at purchase, fees already paid are non-refundable. We may change future pricing with advance notice; a price change will apply no earlier than your next renewal after the notice period. See our Refund and Cancellation Policy for additional details.

Founding Member Program

When offered, the Founding Member Program is available to the first thirty (30) eligible accounts that successfully convert from a free trial to a paid subscription during the forty-five (45) day period beginning on the public launch date stated with the offer (the "Founding Member Window"). The program closes when either thirty eligible accounts have converted or the Founding Member Window ends, whichever occurs first. The dates and availability displayed with the offer at checkout control.

An account qualifies only after its first paid subscription purchase is successfully authorized and Commercial TV Budget confirms Founding Member status by email or another durable written notice. Failed, reversed, fraudulent, duplicate, test, owner, complimentary, or otherwise ineligible transactions do not qualify or reserve a place in the program. Our timestamped account and payment records determine the order of qualifying conversions, subject to correction of an evident error.

For a confirmed Founding Member, the recurring base price for the account's first paid seat is fixed at $29 per month for as long as the account maintains Founding Member status, even if we later raise the standard first-seat price for new customers. The locked rate applies only to the first seat. Additional seats, add-ons, premium services, taxes, and separately priced features are charged at the prices disclosed when purchased.

The available billing intervals are those shown at checkout or in the account billing controls. If we offer a six-month or annual billing option, switching to or from that option does not by itself end Founding Member status. Any discount for a longer billing interval will be disclosed before the change and, if stated to apply to Founding Members, will be calculated from the locked $29 monthly base rate for the first seat.

The locked rate is a price commitment, not a promise that every current feature will remain unchanged or that every future feature will be included. We may maintain, improve, replace, limit, or discontinue features as permitted by these Terms. A new feature may be included at no additional charge, sold as an add-on, or offered as part of another plan. We will not use a feature change as a pretext to avoid the locked first-seat rate for the paid plan that succeeds the Founding Member's Production plan.

Founding Member status requires an active, continuous paid subscription in good standing. Cancellation ends Founding Member status when the paid subscription expires. A failed payment does not end status until the amount remains unpaid after any retries, notices, or cure period we or our payment processor provide. If the subscription then terminates or lapses, Founding Member status and the locked rate are permanently lost. A later resubscription is subject to then-current pricing. Changing an available billing interval or adding or removing seats beyond the first does not by itself count as cancellation.

Founding Member status belongs to the enrolled account and may not be sold, assigned, or transferred to a different account or legal entity without our prior written consent. A change in ownership of the same legal entity does not by itself constitute a transfer. If this subsection conflicts with a general provision in these Terms concerning our right to change prices, this subsection controls for the first-seat rate while Founding Member status is maintained.

Your Budgets and Content

"Customer Content" means budgets, estimates, actuals, logs, calendars, bid letters, purchase orders, vendor records, logos, files, comments, and other information submitted to the Service by you or your collaborators. As between you and Commercial TV Budget, you retain ownership of your Customer Content.

You grant us a limited, worldwide license to host, store, reproduce, process, transmit, display, back up, and otherwise use Customer Content only as reasonably necessary to operate, secure, support, and improve the Service, comply with law, or follow your instructions. This license ends when the content is deleted from our active systems, subject to reasonable backup retention and legal obligations.

You represent that you have all rights and permissions needed to upload and use Customer Content, including company logos, third-party budget files, personnel information, vendor information, and content shared by collaborators. You must not upload content that infringes intellectual property, privacy, confidentiality, publicity, or other rights. Reports of infringing or unlawful Customer Content are handled under our Intellectual Property & Content Complaints policy.

Collaboration and Shared Workspaces

Invited collaborators may view or edit Customer Content according to the role selected by the budget owner. Changes made by collaborators may update totals, logs, revisions, and exported documents. The budget owner is responsible for reviewing collaborator access and all final work product.

The Service may provide autosave, revision history, activity records, presence indicators, and conflict tools. These features are intended to support teamwork but do not replace your own approval process. If simultaneous edits conflict, you and your collaborators are responsible for selecting or reconciling the correct version.

Imports, Calculations, and Exports

Spreadsheet imports depend on the source workbook's structure, formulas, named ranges, macros, formatting, and data quality. An imported budget may not exactly match the original workbook. You must review imported line items, formulas, percentages, totals, actuals, and below-the-line costs before relying on them.

Calculations, line mappings, summaries, payroll and petty cash routing, purchase order routing, currency conversions, and other outputs are software-generated tools. You are responsible for verifying all figures. Exports and printed documents are snapshots of the data available at the time they are generated and may not reflect later edits.

Data, Privacy, and Security

We use account information, Customer Content, and technical information to provide, secure, maintain, and support the Service. We use Supabase as our core security and authentication platform, including encrypted transport and storage, row-level database access policies, audit logging, and automated backups, layered with our own application-level permission controls. We may use additional service providers for hosting, database storage, email, payments, monitoring, and similar operational functions. We do not acquire ownership of your budgets by providing the Service.

Customer Content and account information may be processed or stored in the United States and in other countries where we or our service providers operate. Information processed outside Canada may be subject to the laws of those jurisdictions and to lawful access by courts, law enforcement, or government authorities in those jurisdictions.

For Canadian users, we will handle personal information in accordance with applicable Canadian private-sector privacy laws. Subject to applicable law, you may request access to or correction of personal information associated with your account and may raise a privacy complaint by contacting support@commercialtvbudget.com. Our Privacy Policy describes our purposes, consent practices, retention, safeguards, service providers, and request process in more detail. Our Data Processing Addendum applies whenever we process personal information on your behalf, whether you enroll through self-service checkout or a negotiated Order Form.

You are responsible for determining whether the Service is appropriate for the information you enter. Do not upload complete payment card numbers, Social Security numbers, online banking credentials, passwords, medical records, classified information, or copies of government-issued identification. The Service does not request and is not designed to collect or store Social Security numbers; payroll-related features do not require one. Where business tax identifiers or similar sensitive records are used, restrict collaborator access to people with a legitimate business need.

We use reasonable administrative, technical, and organizational safeguards, but no online service can guarantee absolute security. You are responsible for maintaining secure devices, current software, strong passwords, and appropriate exports or copies of records that are critical to your business.

Service And Marketing Communications

We may send operational messages needed to administer your account, provide security notices, deliver requested sign-in or collaboration messages, process transactions, and support the Service. Promotional or marketing electronic messages sent to Canadian recipients will be based on consent or another lawful basis and will identify the sender, include required contact information, and provide a working unsubscribe method. Unsubscribing from marketing does not prevent necessary operational messages.

Acceptable Use

You may not use the Service to:

  • break the law, facilitate fraud, or violate another person's rights;
  • access another user's account, budget, or data without authorization;
  • probe, scan, bypass, disable, or interfere with security, authentication, access controls, or rate limits;
  • introduce malware, destructive code, or content intended to disrupt the Service;
  • scrape, reverse engineer, copy, resell, or create a competing service from protected portions of the Service except where applicable law does not permit that restriction;
  • use automated systems in a way that imposes an unreasonable load or interferes with other users; or
  • upload unlawful, infringing, deceptive, defamatory, or malicious content.

Our Intellectual Property

The Service, including its software, design, interface, templates, documentation, branding, and non-customer content, is owned by Commercial TV Budget or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

If you provide suggestions, feedback, or feature requests, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation, but we will not identify you publicly as the source without permission.

Third-Party Services

The Service may depend on or link to third-party services such as hosting, authentication, payment processing, email, spreadsheet, or file services. Third-party services are governed by their own terms and privacy practices. We are not responsible for third-party services, but we remain responsible for our obligations under these Terms and applicable law.

Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay undisputed fees, or use the Service in a way that could harm other users or the Service. When practical, we will provide notice and an opportunity to cure before terminating a paid account.

After termination, your right to use the Service ends. We may provide a limited period to export Customer Content, subject to security, legal, and plan restrictions. Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, and dispute provisions.

Professional and Warranty Disclaimers

The Service is a budgeting and production workflow tool. It does not provide legal, accounting, tax, payroll, insurance, labor, union, investment, or other professional advice. Consult qualified professionals for advice applicable to your production and jurisdiction.

To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that every import, calculation, sync, backup, export, or collaboration event will be complete or accurate.

Limitation of Liability

To the maximum extent permitted by law, Commercial TV Budget and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost production opportunities, loss of goodwill, loss or corruption of data, or the cost of substitute services, arising from or related to the Service.

To the maximum extent permitted by law, our total liability for all claims arising from or related to the Service will not exceed the greater of (a) the amount you paid to us for the Service during the twelve months before the event giving rise to the claim or (b) one hundred U.S. dollars (US $100). These limits do not apply where applicable law does not permit them.

Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Commercial TV Budget and its affiliates, officers, employees, and contractors from third-party claims, damages, losses, and reasonable expenses arising from your Customer Content, your violation of these Terms, your infringement of another person's rights, or your unlawful use of the Service. This obligation does not apply to the extent a claim results from our own negligence, willful misconduct, or violation of law.

Governing Law, Arbitration, and Disputes

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules, except that mandatory and non-waivable laws of your applicable U.S. state or Canadian province remain in effect. Before filing a formal claim, you and Commercial TV Budget agree to attempt in good faith to resolve the dispute by written notice and thirty (30) days of informal discussion.

BINDING ARBITRATION AND CLASS ACTION WAIVER. If a dispute is not resolved informally, you and Commercial TV Budget agree that it will be resolved through binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, where applicable to an individual, its Consumer Arbitration Rules), rather than in court, except as set out below. The arbitration will be conducted by a single arbitrator, seated in St. Louis County, Missouri, or another mutually agreed location, and may be conducted remotely or on written submissions where the AAA rules and the arbitrator permit. The Federal Arbitration Act governs the interpretation and enforcement of this provision.

YOU AND COMMERCIAL TV BUDGET EACH AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator has no authority to combine claims of more than one party or to preside over any form of representative or class proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court, and the remainder of this arbitration agreement remains in force for all other claims.

Either party may bring an individual claim in small claims court instead of arbitration if the claim qualifies. Either party may also seek temporary or preliminary injunctive relief in a court of competent jurisdiction in Missouri to protect its intellectual property, confidential information, or Customer Content pending arbitration.

Each party is responsible for its own attorneys' fees and costs, except as the AAA rules or applicable law otherwise provide, or as the arbitrator may award to the prevailing party. Judgment on the arbitration award may be entered in any court having jurisdiction.

If applicable law does not permit enforcement of arbitration or the class-action waiver for a particular claim, that claim will be brought in a state or federal court located in Missouri, and each party consents to the jurisdiction and venue of those courts.

Changes to the Service or Terms

We may update these Terms to reflect product, legal, security, or business changes. We will post the updated Terms and revise the "Last updated" date. If a change materially reduces your rights or increases your obligations, we will provide reasonable advance notice through the Service or by email. Your continued use after the effective date of updated Terms constitutes acceptance.

General Terms

These Terms and any checkout or plan terms presented to you form the entire agreement regarding the Service and supersede prior discussions about it. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, financing, reorganization, sale of assets, or by operation of law.

Scope and Who We Are

This Privacy Policy explains how Commercial TV Budget LLC collects, uses, discloses, stores, and protects personal information when you use CommercialTVBudget.com and its commercial production budgeting, collaboration, calendar, purchase order, vendor, bid letter, import, export, and related tools (the "Service").

Commercial TV Budget LLC is a Missouri limited liability company.

The Service is for business and professional users age 18 or older in the United States and Canada, excluding Quebec during the initial paid release. This Policy does not apply to third-party services that you access separately.

Information We Collect

Account And Profile Information

We collect information such as your name, business email address, authentication identifiers, company or production affiliation, account role, and preferences. Passwords and sign-in sessions are handled by Supabase, our authentication and security platform; we do not display your password to other users.

Customer Content

We process budgets, estimates, actuals, logs, calendars, bid letters, purchase orders, vendor records, company logos, imported spreadsheets, exports, comments, revision history, activity records, and other information that you or your collaborators enter or upload. Customer Content may include names, business contact details, petty cash information, payment status, and vendor business tax identifiers if an authorized user chooses to enter them.

The Service does not request and is not designed to collect or store Social Security numbers. Payroll-related features in the Service do not require or accept a Social Security number, and you should not enter one anywhere in the Service.

Collaboration And Activity Information

We collect collaborator names and email addresses, invitations, permissions, presence information, comments, edits, timestamps, revision records, conflict choices, and other actions needed to provide shared workspaces and an audit trail.

Billing And Support Information

When paid billing is enabled, payment fields are hosted directly by our payment processor, Stripe. Complete card numbers are entered directly into Stripe's hosted checkout fields and are never received, transmitted to, or stored on Commercial TV Budget's own servers or database. We receive billing status, plan, amount, tax, and limited payment-method details such as card brand and last four digits from Stripe, but never complete card numbers. We also collect messages and attachments you send to support or through feedback tools.

Technical Information

Our hosting, security, and authentication providers may process IP address, browser and device type, operating system, request times, referring pages, error information, and similar technical data. The Service also uses essential browser storage as described in the Cookie Policy.

How We Use Information

We use information to:

  • create and authenticate accounts and enforce beta or subscription access;
  • save, calculate, import, export, print, restore, and synchronize Customer Content;
  • support collaboration, permissions, presence, conflict detection, revisions, backups, and activity logs;
  • operate calendars, purchase orders, vendor memory, bid letters, and actualization workflows;
  • process subscriptions, taxes, cancellations, and account administration when paid billing is enabled;
  • provide support, communicate service and security notices, and respond to requests;
  • detect fraud, abuse, unauthorized access, technical failures, and threats to the Service;
  • debug, maintain, and improve the Service using aggregated or de-identified information where practical; and
  • comply with law, enforce agreements, and protect users, the public, and our rights.

We do not use Customer Content to advertise to you or others, and we do not sell personal information or share it for cross-context behavioral advertising.

How We Disclose Information

We may disclose information to:

  • collaborators and account administrators according to permissions selected by the budget owner or organization;
  • service providers that provide hosting, database, authentication, real-time synchronization, backup, email, payment, security, and support functions under contractual or other protections;
  • professional advisers such as lawyers, accountants, insurers, and auditors where reasonably necessary;
  • authorities or other parties when required by law or reasonably necessary to protect rights, safety, security, or prevent fraud; and
  • a successor in connection with a merger, financing, reorganization, bankruptcy, or sale of all or part of the business, subject to appropriate protections.

Current core infrastructure providers include Supabase for authentication, database, storage, backup, real-time services, and core application security, and Vercel for application hosting and delivery. Google-hosted fonts and the jsDelivr content delivery network may receive basic request information when their resources load. Stripe is expected to process payments when paid subscriptions launch.

Sensitive Production and Vendor Information

Business tax identifiers and similar records can create serious risk if misused. Enter such information only when it is necessary for a lawful production purpose, you are authorized to do so, and the collaborators receiving access have a legitimate business need.

Do not enter Social Security numbers, complete payment card numbers, online banking credentials, account passwords, medical records, classified information, or copies of government-issued identification. Customers are responsible for notices, permissions, and legal requirements that apply to personal information they place in Customer Content.

Retention and Deletion

We retain account information and Customer Content while an account is active and as reasonably necessary to provide the Service, maintain revision and activity features, resolve disputes, enforce agreements, comply with law, and protect the Service. Retention may vary by record type, plan, workspace settings, and legal obligations.

When information is deleted from active systems, residual copies may remain temporarily in logs, revision history, disaster-recovery backups, or legally required records until those copies age out or are no longer needed. We will not retain personal information longer than reasonably necessary for the disclosed purposes. You should export records needed for your own legal, accounting, or production retention obligations before closing an account.

Security

Commercial TV Budget uses Supabase as its core security and data platform, including authenticated access, encrypted network transport, encryption of data at rest, row-level database access policies that scope each customer's data to that customer, activity and audit logging, and automated backup and recovery. We layer additional application-level permission and role controls on top of these safeguards. No system is completely secure, and we cannot guarantee that unauthorized access, loss, or misuse will never occur.

You are responsible for using strong unique passwords, protecting sign-in links and devices, reviewing collaborators, removing access promptly, and maintaining exports or other copies of business-critical records.

U.S. Processing and Canadian Users

Commercial TV Budget is based in the United States. Personal information may be processed and stored in the United States and other locations where our service providers operate. Information in another jurisdiction may be subject to that jurisdiction's laws and lawful access by courts, law enforcement, or national security authorities.

For Canadian users, we remain accountable for personal information under our control and use contractual or other means intended to provide a comparable level of protection when information is transferred to service providers for processing. Canadian users may contact us about access, correction, consent, or privacy complaints.

Your Privacy Choices and Rights

Depending on where you live and whether a privacy law applies to Commercial TV Budget, you may have rights to request access to, correction of, deletion of, or a copy of personal information; to learn about categories, sources, purposes, and recipients; to withdraw consent where consent is the legal basis; to appeal a decision; or to avoid discriminatory treatment for exercising a right.

We do not currently sell personal information, share it for cross-context behavioral advertising, or use it for targeted advertising. If that changes, we will update this Policy and provide any required opt-out controls, including recognition of legally required browser signals.

To make a request, email support@commercialtvbudget.com. We may need to verify your identity and authority. Authorized agents may submit requests where permitted by law. We may deny or limit a request where an exception applies and will explain the decision when required.

Current Essential-Only Approach

Commercial TV Budget currently uses cookies and similar browser technologies only when they are necessary to sign you in, protect the Service, remember essential preferences, save a local recovery copy, and keep the application functioning. We do not currently use advertising cookies, behavioral advertising pixels, or analytics cookies.

Because the current beta uses essential technologies only, we do not display a marketing-cookie consent banner. Before adding non-essential analytics, advertising, or similar tracking, we will update this Policy and add consent or preference controls where required.

Technologies We Use

Authentication and security storage. Supabase, our core security and authentication platform, uses browser storage to maintain a secure signed-in session and process sign-in or recovery links.

Workspace and recovery storage. The application uses local browser storage, including the bid-board-platform workspace key and a temporary pending sign-in key, to preserve essential state, support recovery, and bridge the browser to cloud synchronization.

Security and delivery records. Vercel, Supabase, and network delivery providers may use short-lived technical records or similar mechanisms to route traffic, prevent abuse, maintain sessions, and deliver application resources.

Payment fields. When paid billing is enabled, checkout payment fields are hosted directly by Stripe. Stripe may set its own cookies or browser storage necessary to process the transaction; complete card numbers never pass through Commercial TV Budget's own systems.

Service Providers

Our current application infrastructure includes Supabase for authentication, database, storage, backup, real-time services, and core application security, and Vercel for hosting and delivery. Google-hosted fonts and jsDelivr-hosted scripts may receive IP address, browser headers, and request timing when their resources are requested. These services operate under their own privacy terms.

Your Controls

You can remove cookies and local storage through your browser settings. Blocking or deleting essential storage may sign you out, remove a local recovery copy, interrupt autosave or collaboration, or prevent parts of the Service from working. Your cloud data is not necessarily deleted when browser storage is cleared.

If we later offer non-essential categories, you will be able to review and change those preferences without disabling the essential technologies needed to provide the Service.

How to Submit a Complaint

Commercial TV Budget respects intellectual property, privacy, confidentiality, publicity, and other legal rights. To report Customer Content that you reasonably believe violates your rights or applicable law, email support@commercialtvbudget.com with the subject "Content Complaint."

Your report should identify the right or protected material involved, the specific Customer Content and budget or workspace where it appears, your contact information, the basis for your complaint, and any supporting documentation. State that the information is accurate and that you are the rights holder or are authorized to act for the rights holder.

Copyright Notices

A copyright notice should include the owner or agent's signature; identification of the protected work; the location of the allegedly infringing material; the sender's address, telephone number, and email; a good-faith statement that the use is not authorized by the owner, its agent, or law; and a statement under penalty of perjury that the notice is accurate and the sender is authorized to act.

We may ask for missing information before acting. A person who knowingly makes a material misrepresentation may be responsible for resulting damages. Copyright notices should be sent to the designated agent above.

Review, Removal, and Response

We may investigate a report and remove or disable access to content, restrict sharing, preserve relevant records, notify the affected account holder, request additional information, or suspend or terminate an account. We will make these decisions through our designated compliance contact, with outside legal advice when appropriate. We may decline incomplete, unsupported, fraudulent, or abusive reports.

If content is removed in response to a copyright notice, the affected account holder may submit a legally sufficient counter-notice to the same address. We may restore the material when permitted by law unless the claimant timely notifies us of a filed court action. We may terminate, in appropriate circumstances, users who repeatedly infringe copyright or other intellectual-property rights.

Trademark and Other Content Complaints

Trademark reports should identify the mark, registration information if available, the owner, the challenged use, its location, and why the use is likely unauthorized or confusing. Reports concerning privacy, confidentiality, publicity rights, defamation, threats, fraud, or other unlawful content should identify the affected person or right, the specific content, its location, and supporting facts.

This process is not a substitute for emergency services or legal process. If someone faces an immediate threat, contact the appropriate emergency or law-enforcement authority. We may disclose or preserve information when required or permitted by applicable law.

SaaS Subscription Agreement

Parties and Order Form

This SaaS Subscription Agreement ("Agreement") is between Commercial TV Budget LLC, with an address at PO Box 31042, St. Louis, MO 63131 ("CTV Budget"), and the customer identified in an Order Form ("Customer"). It is intended for a negotiated business account and does not replace the self-service Terms of Service unless the Order Form expressly says so.

The Order Form will identify the subscription term, fees, billing interval, number of seats, plan limits, support level, and any negotiated terms. If there is a conflict, the Order Form controls only for the specific commercial terms it addresses.

Service and Authorized Users

During the subscription term and subject to payment, CTV Budget grants Customer a limited, non-exclusive, non-transferable right for its authorized users to access the Service for Customer's internal commercial production business. Customer is responsible for its users, credentials, permissions, and compliance with this Agreement.

CTV Budget may update the Service. It will not materially reduce the core paid functionality during a committed term without providing a reasonable alternative, credit, or termination right appropriate to the impact.

Fees, Taxes, Renewal, and Cancellation

Customer will pay the fees and applicable taxes stated in the Order Form. Unless the Order Form states otherwise, undisputed invoices are due within thirty (30) days, fees are quoted in U.S. dollars, and subscriptions renew for successive terms of the same length unless either party gives the notice stated in the Order Form.

A self-service trial or automatic renewal is also subject to the Refund and Cancellation Policy. Customer may not withhold payment because of a dispute unrelated to the affected invoice.

Payment card numbers are collected only through Stripe's hosted checkout fields and are transmitted directly to Stripe; CTV Budget's own servers and database never receive or store complete card numbers.

Customer Data and Privacy

Customer retains ownership of Customer Content. Customer grants CTV Budget the limited rights necessary to host, process, transmit, back up, and support that content. Customer is responsible for the lawfulness, accuracy, notices, permissions, retention, and access decisions related to Customer Content.

The Data Processing Addendum applies whenever CTV Budget processes personal information for Customer as a processor, service provider, or contractor. The Privacy Policy applies when CTV Budget determines the purposes and means of processing account, billing, support, and service-security information.

The Service does not request and is not designed to collect or store Social Security numbers. Payroll-related features do not require a Social Security number, and Customer must not enter one anywhere in the Service.

Security and Confidentiality

Each party will protect the other party's non-public business, technical, financial, and production information using reasonable care and use it only to perform this Agreement. CTV Budget uses Supabase as its core security and data platform — including authenticated access, encrypted transport and storage, row-level database access policies, audit logging, and automated backups — layered with CTV Budget's own application-level permission controls, as described further in the DPA.

Confidentiality does not apply to information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. A party may disclose information when legally required after giving notice when legally permitted.

Support, Availability, and Changes

CTV Budget will provide the support stated in the Order Form. Unless a signed service level agreement states otherwise, no guaranteed uptime, response time, service credit, or recovery objective applies. Scheduled maintenance, emergency maintenance, internet failures, third-party failures, and events outside reasonable control may affect availability.

Intellectual Property and Feedback

CTV Budget and its licensors own the Service, software, templates, documentation, design, and improvements. Customer receives only the access rights stated in this Agreement. Customer may use its exports and Customer Content for its business. Feedback may be used without restriction or compensation, without publicly identifying Customer as the source without permission.

Customer Responsibilities and Compliance

Customer will not misuse the Service, bypass access controls, introduce malicious code, infringe rights, or use the Service unlawfully. Customer is responsible for verifying imports, formulas, totals, payroll, tax, insurance, union, guild, and production decisions. The Service does not provide professional advice.

Term, Suspension, Termination, and Data Return

Either party may terminate for a material breach not cured within thirty (30) days after written notice, or immediately if cure is not possible. CTV Budget may suspend access to address a security threat, unlawful use, or overdue undisputed fees after reasonable notice when practical.

After termination, Customer must stop using the Service. Upon request made during the term or within the export period stated in the Order Form, CTV Budget will make Customer Content available through standard export features. Deletion follows the DPA, backup cycle, and legal obligations.

Warranties, Disclaimers, and Liability

Each party warrants that it has authority to enter this Agreement. Except for express warranties in this Agreement, the Service is provided "as is" and "as available" to the maximum extent permitted by law. CTV Budget disclaims implied warranties and does not warrant uninterrupted or error-free operation or the accuracy of every import, calculation, synchronization, backup, or export.

Except for liability that cannot lawfully be limited, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages or lost profits, opportunities, goodwill, or data. Each party's aggregate liability will not exceed the fees paid or payable under the applicable Order Form during the twelve months before the event giving rise to the claim, unless the Order Form expressly states another cap.

Governing Law, Arbitration, and Disputes

This Agreement is governed by the laws of the State of Missouri, without regard to conflict-of-law rules, while mandatory non-waivable law of Customer's applicable U.S. state or Canadian province remains in effect. Before filing a formal claim, the parties agree to attempt in good faith to resolve any dispute by written notice and thirty (30) days of informal discussion.

Binding Arbitration and Class Action Waiver. Any dispute not resolved informally will be resolved through binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, rather than in court, except as set out below. The arbitration will be conducted by a single arbitrator seated in St. Louis County, Missouri, or another mutually agreed location, and may proceed remotely or on written submissions where the AAA rules and the arbitrator permit. The Federal Arbitration Act governs interpretation and enforcement of this provision.

Each party agrees that any proceeding will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action, and the arbitrator has no authority to preside over any such proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court, and the remainder of this arbitration agreement remains in force for all other claims.

Either party may bring an individual claim in small claims court instead of arbitration if the claim qualifies, and either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction in Missouri to protect its intellectual property, confidential information, or Customer Content pending arbitration.

Each party is responsible for its own attorneys' fees and costs except as the AAA rules, applicable law, or the arbitrator otherwise provide. Judgment on the arbitration award may be entered in any court having jurisdiction. If applicable law does not permit enforcement of arbitration or the class-action waiver for a particular claim, that claim will instead be brought in a state or federal court located in Missouri, and each party consents to the jurisdiction and venue of those courts.

General

This Agreement and its Order Forms and DPA are the complete agreement for the negotiated subscription. Neither party may assign it without consent, except in connection with a merger, reorganization, financing, or sale of substantially all relevant assets. The parties are independent contractors. Notices will be delivered to the contacts in the Order Form.

Data Processing Addendum

Scope and Roles

This Data Processing Addendum ("DPA") forms part of the agreement between the customer identified in an Order Form, the Terms of Service, or another service agreement ("Customer") and Commercial TV Budget LLC ("Provider") when Provider processes personal information in Customer Content on Customer's behalf. This DPA applies to every Customer, whether enrolled through the self-service Terms of Service or a negotiated Order Form under the SaaS Subscription Agreement.

Customer is the controller, business, or organization responsible for determining the purposes and means of processing. Provider is the processor, service provider, or contractor that processes Customer Personal Data only to provide, secure, and support the Service and as otherwise documented by Customer. Each party remains independently responsible for personal information it processes for its own purposes.

Processing Details

Subject matter and duration: operation of the Service for the subscription term and any limited return, deletion, backup, dispute, or legal-retention period.

Nature and purpose: hosting, saving, calculating, importing, exporting, sharing, revising, backing up, securing, troubleshooting, and supporting Customer Content and related production workflows.

Data subjects: Customer users, collaborators, production personnel, clients, agency personnel, vendors, payees, talent, crew, and other individuals identified in Customer Content.

Data categories: identity and business contact information; permissions and activity records; production, budget, payment-status, petty cash, purchase order, vendor, and collaboration data; and business tax identifiers when Customer elects to provide them. The Service does not request, and is not designed to collect or store, Social Security numbers. Payroll-related features in the Service do not require or accept a Social Security number.

Documented Instructions and Restrictions

Provider will process Customer Personal Data only on Customer's documented instructions, including instructions expressed through use and configuration of the Service, unless law requires otherwise. Provider will inform Customer if an instruction appears to violate applicable privacy law and may pause the affected processing while the parties address it.

Provider will not sell Customer Personal Data, share it for cross-context behavioral advertising, use it for targeted advertising, or combine it with personal information from unrelated customers except as permitted by applicable law to provide or secure the Service. Provider will not retain, use, or disclose Customer Personal Data outside the direct business relationship except as permitted by the agreement and law.

Confidentiality and Security

Provider uses Supabase as its core security and data infrastructure platform. Supabase provides authenticated access, encrypted network transport, encryption of data at rest, row-level database security policies that scope each customer's access to its own data, activity and audit logging, and automated backup and recovery. Provider layers additional application-level permission, role, and collaborator-access controls on top of these safeguards, and limits access to personnel and subprocessors with a need to know, binding them to confidentiality obligations.

Payment card numbers are never part of this security scope: they are collected only through Stripe's hosted checkout fields and are transmitted directly to Stripe, never to Provider's own servers or database. Customer must not enter complete payment card numbers in budget notes, comments, vendor records, or other free-text fields.

Customer is responsible for configuring permissions, reviewing collaborators, protecting credentials and devices, minimizing sensitive data, and using the Service consistently with its own legal and security obligations.

Subprocessors

Customer generally authorizes Provider to use subprocessors needed to operate the Service. Provider will impose data-protection obligations appropriate to the processing and remains responsible for its obligations under this DPA.

Provider will maintain a current subprocessor list and provide reasonable advance notice of a material new subprocessor for negotiated accounts. Customer may raise a reasonable data-protection objection; the parties will work in good faith on a commercially reasonable solution.

Individual Rights and Compliance Assistance

Taking into account the nature of processing and information available, Provider will reasonably assist Customer with verified requests for access, correction, deletion, portability, restriction, consent withdrawal, or other applicable rights. If Provider receives a request relating to Customer Personal Data, it will direct the requester to Customer unless legally prohibited.

Provider will reasonably assist with privacy impact assessments, regulator consultations, security inquiries, and evidence of compliance when required by applicable law and proportionate to the Service.

Security Incidents

Provider will notify Customer without undue delay after confirming unauthorized access to or acquisition, use, alteration, disclosure, loss, or destruction of Customer Personal Data for which notice is required. Notice will include information reasonably available about the nature of the incident, affected data, likely consequences, and mitigation. Provider's notice is not an admission of fault or liability.

Customer is responsible for notices to affected individuals, regulators, clients, or others unless law assigns that duty to Provider.

Cross-Border Processing

Customer authorizes processing in the United States and locations where authorized subprocessors operate. For Canadian personal information, Provider will use contractual or other means intended to provide a comparable level of protection during processing and will support Customer's transparency obligations concerning foreign processing and lawful government access.

Return, Deletion, and Audit

During the term, Customer may use standard export tools to retrieve Customer Content. After termination and upon Customer's timely request, Provider will make Customer Content available for the agreed export period, then delete it from active systems unless retention is required by law. Residual copies may remain until overwritten through ordinary backup and logging cycles.

Provider will make available information reasonably necessary to demonstrate compliance. If that information is insufficient and applicable law requires an audit, the parties will arrange a confidential, scoped audit during normal business hours that avoids unreasonable disruption and protects other customers.

Order of Precedence and Contact

If this DPA conflicts with the Terms of Service, Order Form, or SaaS Subscription Agreement on processing Customer Personal Data, this DPA controls. Other terms remain unchanged. Privacy and DPA questions may be sent to support@commercialtvbudget.com.

Refund and Cancellation Policy

Thirty-Day Trial

When offered, a new customer may receive thirty (30) days of access to one full active budget and up to two invited collaborators on that budget. After the trial, the customer may choose the Production plan for $29 per month; Production does not include another free trial. Checkout will clearly disclose the price, billing frequency, features, and cancellation method.

We will not charge you merely because you created a beta or trial account. A payment method will be charged only after you provide express affirmative consent to the recurring subscription terms presented at checkout.

Automatic Renewal

Paid subscriptions renew at the price and interval shown at checkout until canceled. We will provide a retainable confirmation of the subscription terms and how to cancel. We will send trial, annual renewal, price-change, or other notices when required by applicable law.

How to Cancel

When paid billing launches, customers who enroll online will be able to cancel online through account billing controls without unnecessary steps. You may also request cancellation at support@commercialtvbudget.com. We may authenticate the request to protect the account.

Cancellation stops future renewals. Unless applicable law, checkout terms, or a written agreement says otherwise, access continues through the end of the current paid period and no further subscription fee is charged.

Refunds

Except where required by law or expressly stated at checkout or in an Order Form, subscription fees are non-refundable and we do not provide prorated refunds for unused time after cancellation. This does not limit mandatory rights or remedies.

Contact support promptly if you believe there was a duplicate charge, an unauthorized charge, a billing error, or a material service failure. We will investigate in good faith and issue a correction, refund, or credit when appropriate. Refunds, when approved, are returned to the original payment method where practical.

Plan and Price Changes

We may change plan features or future prices with advance notice. A price change will not apply before the next renewal following the required notice period. You may cancel before the new price takes effect.

Billing Questions, Payment Security, and Chargebacks

Payment card numbers are collected only through Stripe's hosted checkout fields. Complete card numbers are transmitted directly to Stripe and are never received, processed, or stored on Commercial TV Budget's own servers or database.

Please contact support@commercialtvbudget.com before filing a chargeback so we can investigate quickly. This request does not waive your right to contact your card issuer or exercise any legal remedy.

Disputes About Billing

Billing disputes that cannot be resolved through the process above are subject to the arbitration agreement and class-action waiver in our Terms of Service.

Frequently asked questions

Where do I open and edit a budget?

My Budgets is the home for job folders and bid versions. Choose Open on any bid to edit its Top Sheet, detail pages, travel, and logs.

Where do Crew Holds and Equipment Holds live?

Both hold sheets belong to the open bid and save with it. Crew contacts and equipment vendors are remembered across your account for faster entry on later jobs.

Why does a new bid start at $0?

A new bid is intentionally blank. It contains the AICP structure but no inherited costs or job text, so another job cannot accidentally carry into the new estimate.

Where does an imported budget go?

The imported bid appears in the selected folder, or in Imported Budgets when no destination was chosen. Recent Imports shows the source file and where it landed.

What do Estimate, Working, Actual, and Variance mean?

Estimate is the approved bid. Working is an editable copy used to track expected changes. Actual is built from cost logs. Variance is the difference between the active budget view and Actual.

How do I know my work is saved?

Watch the save indicator at the top of the workspace. “All changes saved” means the latest version reached cloud storage. History & Activity records successful revisions.

How do I restore an earlier version?

Open History & Activity, find the revision, and choose Restore. Restoring replaces the opened bid in the same folder and creates another revision so the action remains traceable.

How do I share a budget with a colleague?

Open the budget, choose Share, enter the invited user’s email and role, then send the generated link. The recipient must have their own active Commercial TV Budget subscription and sign in with the invited email address.

What happens when two people save at the same time?

The conflict banner protects both versions. Load the newer cloud version, or keep your browser version as a separate copy before continuing.

What is the Vendor Directory for?

It remembers vendor contact and payment information used on POs. Update a vendor once, then reuse it without re-entering its address, phone, email, or tax identifier.

Can I print only certain budget pages?

Yes. Print offers the current sheet, Top Sheet, budget pages, logs, or a custom selection. Calendar printing also lets you choose all months or selected months.

Does Excel export include Working?

Excel exports Actual by default. Turn on the Working option in the export window only when you want that additional view included in the workbook.

How do calendars stay organized?

Calendars live in the same job folders as bids. Add milestones from the day menu, create custom milestones when needed, and duplicate or move calendars like budget versions.

How do I undo a cell change?

Use Command-Z on Mac or Control-Z on Windows while working in the budget. Arrow keys and Enter move between editable cells in the workbook.

Set Up Authenticator App

  1. Open 1Password, Google Authenticator, Microsoft Authenticator, Authy, or Apple Passwords and choose Add account or +.
  2. Choose Scan QR code inside that authenticator app. On iPhone, the regular Camera app can add the code to Apple Passwords.
  3. The authenticator app will then show a six-digit code that changes about every 30 seconds. Enter the newest code below.

Every new session requires a code from your authenticator app before budget data can load.

Add a backup before you need it

Commercial TV Budget does not issue recovery codes. Every MFA user should add a second authenticator on a different device or in a different password manager. For an owner account, a backup is essential because the owner recovery tool cannot reset its own MFA.
